1 Acceptance of Terms & Eligibility

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding contract between you ("Subscriber", "User", "Studio", "You") and Quick Moment Technologies Inc. ("QuickMoment", "We", "Us", "Our"). By accessing, registering for, or using the QuickMoment platform, website, mobile portals, or API endpoints, you explicitly acknowledge that you have read, understood, and agree to be bound by all terms set forth herein.

To be eligible to subscribe and operate a studio workspace on QuickMoment, you must be at least 18 years of age or possess the legal authority to enter into binding agreements on behalf of your legal entity, studio business, or corporate agency. If you do not agree with any part of these Terms, you must immediately terminate access and discontinue use of the platform.

2 Studio Workspace & Account Responsibilities

When registering your studio workspace, you agree to provide authentic, current, and complete information, including business name, authorized representative contact information, and billing details.

• Credential Confidentiality: You are solely responsible for maintaining the security and confidentiality of your studio login credentials, API secret keys, Google OAuth tokens, and staff access permissions.
• Team & Staff Access: Any actions executed within your studio workspace by your secondary photographers, studio assistants, or editors are deemed authorized by you, and you assume full responsibility for their compliance with these Terms.
• Immediate Notification: You must promptly notify QuickMoment at support@quickmoment.in upon becoming aware of any unauthorized access, compromised passwords, or security breaches affecting your studio workspace.

3 Subscription Plans, Billing & Payment Processing

QuickMoment offers tiered recurring subscriptions (Starter, Professional, Agency, and Enterprise) billed on a monthly or annual basis, in addition to sandbox trial evaluations.

• Free Trial Evaluation: New studio registrations receive a complimentary 14-day free trial. Free trial accounts may be subject to event creation or photo indexing quotas as defined in the plan catalog.
• Payment Gateways & Processing: Subscription renewals, plan upgrades, and credit add-ons are processed securely through certified third-party payment processors including Cashfree PG (supporting UPI, Credit/Debit Cards, NetBanking, and auto-mandates). QuickMoment does not store sensitive card CVVs or bank PINs on our servers.
• Automatic Renewal: Unless you cancel your active subscription prior to the expiration of the current billing cycle, your subscription will automatically renew at the applicable recurring rate.
• Refund Policy: Due to the immediate allocation of high-speed cloud storage, GPU computation, and CDN bandwidth, fees paid are non-refundable except where required by applicable consumer protection laws or explicit written service-level credits approved by QuickMoment management.

4 AI Facial Recognition & Biometric Data Processing

QuickMoment features a sub-400ms neural network face indexing engine designed to match event attendees with their respective photographs via guest selfie queries.

• Facial Vector Representation: Our neural models extract 512-dimensional numerical mathematical vectors (embeddings) representing facial geometry. We do not store biometric templates for commercial profiling or cross-platform tracking.
• Consent & Authorization: As the event photographer or studio contractor, you warrant and represent that you have obtained all necessary client consents, event permissions, or venue releases to photograph attendees and process event images through computer vision indexing.
• Zero Third-Party Model Training: QuickMoment guarantees that neither your uploaded client images nor guest facial biometric vectors will ever be utilized to train, fine-tune, or contribute to public third-party foundational generative AI models.

5 Intellectual Property & Photo Ownership

You Retain Full Ownership: QuickMoment asserts zero copyright or ownership rights over the photographs, videos, logos, watermarks, or studio creative assets uploaded to your workspace. As between you and QuickMoment, all intellectual property rights remain strictly your exclusive property.

Limited Platform Operating License: By uploading photographs and branding assets, you grant QuickMoment a worldwide, non-exclusive, royalty-free, limited license solely for the technical execution of platform services. This includes generating web-optimized thumbnails, creating watermarked previews, extracting vector embeddings, and serving image assets to authorized event guests via CDN.

6 Wireless Camera Tethering & Live Sync

QuickMoment provides wireless tethering tools and desktop/mobile bridge software compatible with select Sony, Canon, and Nikon camera bodies.

• Local Network Environment: Real-time wireless transfer speeds depend on your local Wi-Fi router bandwidth, venue cellular signal, and camera Wi-Fi hardware. QuickMoment is not liable for delayed photo uploads resulting from venue network outages or radio interference.
• Camera Firmware & Hardware: You are responsible for ensuring that your camera equipment and firmware are compatible with supported PTP/IP and FTP protocols.

7 Guest Access, QR Standees & WhatsApp Delivery

Studio workspaces can generate branded QR code standees, unique URLs, and automated WhatsApp/SMS notifications for event guests.

• Gallery Access Controls: You may configure events with Public, PIN-Protected, or Email/OTP-gated access modes. You bear responsibility for applying the appropriate access restrictions aligned with your client agreements.
• Messaging Compliance: Instant WhatsApp and SMS photo notifications are sent via Meta Business API and verified telecommunication partners. Guests must explicitly input their phone number or scan event QR codes to initiate guest self-service delivery.
• Opt-Out Mechanism: All automated WhatsApp delivery sessions include simple opt-out capabilities ("STOP") for guest recipients.

8 Acceptable Use Policy & Restrictions

You agree to use QuickMoment exclusively for lawful, authorized commercial or professional photography purposes. You explicitly agree NOT to upload, distribute, or facilitate content that:

• Contains non-consensual imagery, unlawful depictions, explicit exploitation, or defamatory media;
• Infringes upon any third party's copyright, trademark, trade secret, or privacy rights;
• Attempts to reverse engineer, decompile, or extract the source code of our AI face recognition models, algorithms, or API architecture;
• Introduces malicious software, ransomware, Trojan horses, or automated scraping bots intended to disrupt infrastructure performance;
• Uses the biometric matching engine for unauthorized surveillance, stalking, unlawful profiling, or biometric identification without proper context.

Violation of the Acceptable Use Policy provides grounds for immediate suspension or permanent termination of your studio workspace without refund.

9 Storage Quotas, Fair Use & Overage Handling

Each subscription tier allocates specific cloud storage capacity (e.g., 10 GB, 50 GB, 250 GB, or custom enterprise quotas) and monthly AI search volume.

• Soft & Hard Limits: When your studio reaches 90% of your allocated storage capacity, automated dashboard warnings are displayed. If your storage reaches 100%, high-volume photo uploads will be temporarily paused until your plan is upgraded or older event media is archived.
• Fair Bandwidth Policy: Public guest galleries benefit from global CDN caching. In the event of extraordinary, anomalous traffic spikes exceeding normal commercial studio usage, QuickMoment reserves the right to throttle delivery rates or require enterprise CDN provisioning.

10 Service Level, Maintenance & Uptime

QuickMoment strives to maintain a 99.9% platform availability standard for commercial production workspaces. Scheduled infrastructure maintenance is conducted during off-peak hours with prior dashboard or email notification. QuickMoment will not be held liable for temporary platform unavailability caused by major cloud provider service disruptions (AWS, Google Cloud, Cloudflare), regional ISP fiber cuts, or acts of God.

11 Disclaimers & Limitation of Liability

"AS IS" Provision: Except as expressly set forth herein, QuickMoment provides the platform, software, and AI recognition services on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, statutory, or implied.

Limitation of Damages: To the maximum extent permitted by applicable law, in no event shall QuickMoment, its directors, employees, affiliates, or licensors be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of client goodwill, or loss of digital data resulting from your use of the platform. QuickMoment's total aggregate liability arising out of or related to this Agreement shall not exceed the total fees paid by you to QuickMoment in the three (3) months preceding the incident giving rise to the claim.

12 Governing Law, Dispute Resolution & Notices

This Agreement shall be governed by, construed, and enforced in accordance with the laws of the jurisdiction in which QuickMoment operates, without regard to its conflict of law principles. Any legal controversy or dispute arising under these Terms shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration or competent courts located in the designated jurisdiction.

Modifications to Terms: QuickMoment reserves the right to amend these Terms to reflect technological upgrades, regulatory updates, or operational changes. We will provide prominent notice of material changes on the platform dashboard or via registered email at least fifteen (15) calendar days prior to effective implementation.
